Written Action of Board of Directors

SUPPORT OUR TROOPS^® INC WRITTEN ACTION OF BOARD OF DIRECTORS #05-16.

We, the undersigned Directors of the aforesaid Florida corporation, do hereby make the following Resolution by written action as permitted by Chapter 617 of the Florida Statutes:

Board of Advisors

Whereas, every successful great project has mentors who provide invaluable guidance, have charted the course before, know how to avoid the shoals, where lies the fairest wind, and which ships are friendly. These mentors are the people who are able to make good things happen quickly. From Homers' Odyssey in antiquity to the present, these keystone individuals are those who provide wise advice, build bridges, locate funding, make connections and open doors to make great things happen for good causes.

Whereas, upon the initiative of Martin C. Boire the Corporation desires to put in place a method of encouraging persons who are knowledgeable, well known, well respected, well connected, or the like, to associate themselves with this corporation, offer their wisdom to assist the greater good, and shepherd this great project to success for the benefit of America's soldiers and their families;

Whereas, the Corporation desires to provide a informal vehicle through which such certain such individuals can assist this good cause by periodically sharing their wisdom, providing advice, making suggestions, providing advice to any or all of the Corporations officers or directors or employees;

Whereas, the Corporation desires to enable these individuals to do so easily and informally without having to incur the duties and liabilities associated with serving continually on the Board of Directors;

Whereas, this action is taken to create a situation similar to that of being able to call up an uncle, a friend, or an expert or and ask for advice or guidance or ideas;

Now, therefore, be it Resolved:

The Board of Advisors is hereby established for the purposes aforesaid.
A person may be appointed to the Board of Advisors either by the CEO or by the Board of Directors.
The Board of Advisors need not have meetings, and if it does may conduct them by any means it chooses.
The Board of Advisors is uncompensated.
Board of Advisor members may communicate directly with any Director, Officer, or employee at will, either verbally or in writing.
Neither the Board of Advisors or any members thereof, will have any duty or power to oversee or direct corporate affairs, dealings, working, or contracts. All powers and duties and liabilities attendant to a Board of Directors under law remain vested solely in the Board of Directors of Support Our Troops, Inc. and the Board of Advisors will have no obligation therefor. The Board of Advisors and its members simply at their volition periodically graciously provide Support Our Troops with their wisdom, advice, or connection to help it attain its goals.

Know All Men By These Presents that Support Our Troops expresses its gratitude and appreciation for the magnanimous offerings these Advisors will make to this great endeavor.

Effective Date

The effective date of this written action and the Resolutions contained herein, is November 9, 2005.
