Accountant Independence Assurance Policy

We, the undersigned Directors of the aforesaid Florida corporation, do hereby make the following Resolution by written action as permitted by Chapter 617 of the Florida Statutes:

Corporation Accountant Independence Assurance Policy

Whereas, upon the initiative of Martin C. Boire the Corporation desires to put in place a policy which assures that the Corporation will receive unquestionably independent accounting of all of its financial affairs; Whereas, a sound Corporate reputation can be supported by establishing proper accounting practices and polices from the outset;

Whereas, the Corporation desires to preempt any situation in which inappropriately close control and influence, or conflicts of interest, taint the propriety and accuracy of the Corporation's internal or external accounting;

Whereas, this policy is adopted to assure that Support Our Troops, Inc. and third parties always benefit from clear and accurate accounting reports;

Now, therefore, be it Resolved that the Board unanimously adopts the following as the accounting policy of this Corporation:

  1. All financial transactions shall be maintained on internal accounting software and none shall be maintained outside this software.
  2. The Corporation may use internal bookkeepers for day-to-day operations.
  3. The Corporation shall at all times use an external qualified and experienced independent accounting firm to oversee the Corporation's software books. This accounting firm shall monthly be provided with a complete copy of the Corporation's books, and such records as are appropriate to assist it in performing its accounting function.
  4. The accountant firm may be fired only by a majority vote of the Board of Directors of Support Our Troops, Inc.
  5. An accounting firm used by the Corporation shall not have any past employment by an officer or director of the Corporation.
  6. An accounting firm used by the Corporation shall not accept employment by an officer or director of the Corporation either for themselves or for a company in which they have an ownership interest (other than public companies in which they might own a minor amount of stock).
  7. An accounting firm shall employ only Generally Accepted Accounting Practices in all of its work for this Corporation.

Hiring

The Board of Directors hereby approves the hiring of the certified public accountant firm of Bolerjack, Halsema, & Bowling, P.A., by the President to act as accountants for the Corporation.

Effective Date.

The effective date of this written action and the Resolutions contained herein, is July 22, 2005.

Action #05-9 as adopted by the Board of Directors of Support Our Troops, Inc. on 7-22-2005.
